1. Acceptance of These Terms

By creating an account on DreamLnds, you enter into a legally binding agreement with [PLACEHOLDER — LEGAL ENTITY TBD] (trading as "DreamLnds", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the DreamLnds platform and all associated applications and services (collectively, the "Service").

Please read these Terms carefully. If you do not agree to these Terms, you must not create an account or use the Service.

Your continued use of the Service after any changes to these Terms constitutes acceptance of the revised Terms, subject to the notice requirements in Section 17.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are 18 or older. DreamLnds collects your date of birth at signup to verify this requirement — see the Privacy Policy (Section 3.1) for details on how date of birth is stored and protected.

If we discover that an account was created by someone below the age of 18 — including through a false date of birth — we will suspend and permanently delete that account and all associated data without prior notice. Setting minimum age at 18 eliminates LGPD Art. 14 parental-consent requirements and ensures a clean compliance baseline at launch.

2.2 Legal Capacity

You must have the legal capacity to enter into binding agreements in your jurisdiction. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2.3 Geographic Availability

The Service is available globally, but certain features may be restricted by jurisdiction. DreamLnds does not represent that the Service is appropriate or available in all locations.

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing your full name, a valid email address, date of birth (for age verification), and a password. You may also provide optional profile information (display name, profile photo, bio, location, and vertical-specific profile details).

3.2 Accuracy of Information

You agree to provide accurate, complete, and current information during registration and to keep that information up to date. DreamLnds is not responsible for problems caused by inaccurate account information.

3.3 Account Security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must:

  • Choose a strong password (minimum 8 characters, as enforced by the platform).
  • Not share your credentials with any other person.
  • Notify us immediately at the DPO channel in the Privacy Policy if you suspect unauthorized access to your account.

DreamLnds will not be liable for losses resulting from unauthorized use of your account where you failed to maintain the security of your credentials.

3.4 One Account per Person

Each person may maintain only one account. Creating multiple accounts to circumvent suspensions, limits, or community guidelines is prohibited.

4. The Service and Dream Content

4.1 What DreamLnds Is

DreamLnds is a social platform whose purpose is to help people realize their dreams and share them with others. The Service includes:

  • A Dream Feed where you can share your dreams publicly or keep them private.
  • App verticals (Travel Planner, Band Match, Creator Studio, and future verticals) providing tools specific to dream categories.
  • Social features: following other users, receiving followers, interacting with community content.
  • AI-powered features to assist with planning, matching, and content creation.
  • (When activated) DreamLnds Ads: contextual advertising served alongside dream content.

4.2 Access

Subject to these Terms, DreamLnds grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

4.3 Feature Availability

Features may vary between free accounts and paid subscription tiers. Specific feature-gating and pricing per tier are not reproduced in these Terms — they are defined in sprint planning and will be presented to you at the point of subscription; those commercial terms are incorporated into these Terms by reference at that time.

5. User Content

5.1 Your Content

"User Content" means any text, images, audio, video, or other material you upload, post, create, or transmit through the Service — including dreams, profile information, comments, and vertical-specific content (travel itineraries, music profiles, creator portfolios, etc.).

5.2 Your Ownership

You retain full ownership of your User Content. These Terms do not transfer any intellectual property rights in your content to DreamLnds.

5.3 License to DreamLnds

By uploading or posting User Content to the Service, you grant DreamLnds a worldwide, royalty-free, non-exclusive license to:

  • Store, host, reproduce, and transmit your content as necessary to operate the Service (including CDN distribution and backup).
  • Display your public content to other users of the Service according to your privacy settings.
  • Create thumbnail previews or other derivative formats solely for the purpose of presenting your content within the Service interface.

This license is limited to operating and improving the Service. We do not use your User Content to train AI models, and we do not sell your content to third parties.

This license persists for public content for a reasonable wind-down period after you delete the content (to allow cached copies to expire) but terminates completely once permanent deletion occurs (within 30 days of your deletion request under our soft-delete policy).

5.4 Content Representations

By posting User Content, you represent and warrant that:

  • You own the content or have all rights necessary to grant the license in Section 5.3.
  • Your content does not infringe any third party's intellectual property, privacy, or other rights.
  • Your content complies with Section 6 (Community Guidelines) and applicable law.

5.5 Content Relating to Other People

If your User Content includes information about other real people (e.g., tagging a friend in a dream, sharing a photo that includes someone else), you are responsible for ensuring you have that person's consent to share their information publicly.

6. Community Guidelines and Prohibited Conduct

6.1 Spirit of the Community

DreamLnds is built on the belief that realizing dreams is a shared human project. We expect all users to contribute to a community that is supportive, honest, and safe.

6.2 Prohibited Content

You must not post, share, or transmit content that:

  • Is illegal under applicable law (including laws of Brazil and your country of residence).
  • Infringes any third party's intellectual property rights (copyright, trademark, trade secrets).
  • Violates any person's privacy, including sharing personal data of third parties without their consent.
  • Is defamatory, harassing, threatening, abusive, or constitutes hate speech based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
  • Is sexually explicit or contains nudity in contexts not appropriate for the platform.
  • Promotes violence, self-harm, eating disorders, or other harmful behaviors.
  • Constitutes spam, unsolicited advertising, or pyramid schemes.
  • Contains malware, phishing links, or other malicious code.
  • Impersonates any person (including other DreamLnds users) or organization.
  • Involves the collection of personal data from other users without their explicit consent.

6.3 Prohibited Conduct

You must not:

  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or DreamLnds's backend systems.
  • Use automated scraping, bots, or crawlers to extract data from the Service without DreamLnds's written permission.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit unsolicited commercial messages to other users.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Create a false impression of affiliation with DreamLnds or endorsement by DreamLnds.
  • Use the Service in any way that violates applicable law, including LGPD and applicable privacy laws.

6.4 Reporting and Moderation

DreamLnds operates a content moderation function. You may report content that you believe violates these guidelines using the in-app reporting tools. We will review reports and take action — which may include content removal, account warnings, temporary suspension, or permanent ban — at our reasonable discretion.

We aim to respond to reports of seriously harmful content (illegal content, imminent harm) within 24 hours. Other reports within 5 business days.

7. Content Moderation and Illegal Content (EU Digital Services Act)

This Section sets out how DreamLnds handles illegal content and content moderation, including the obligations applicable under the EU Digital Services Act (Regulation (EU) 2022/2065, the "DSA"). It supplements the Community Guidelines in Section 6.

7.1 Content Policy and Prohibition of Illegal Content

Illegal content is prohibited on DreamLnds. "Illegal content" means any information that, in itself or by reference to an activity, is not in compliance with EU law or the law of any relevant member state, as well as content that is illegal under Brazilian law or the law of your country of residence. The Community Guidelines (Section 6) further define content and conduct that is not permitted, whether or not it is strictly illegal.

7.2 Notice-and-Action Mechanism

Any individual or entity — including any user, non-user, or competent authority — may notify us of content they consider to be illegal. You can submit a notice:

  • Through the in-app report tools available on content and profiles; or
  • By contacting [PLACEHOLDER — dsa@dreamlnds.com or designated contact].

To help us act, a notice should include: a sufficiently substantiated explanation of why the content is considered illegal; a clear indication of the exact location of the content (e.g., URL or in-app identifier); your name and contact details (except for notices concerning certain offences against minors); and a good-faith statement that the information in the notice is accurate and complete. We will confirm receipt of notices and process them in a timely, diligent, non-arbitrary, and objective manner.

7.3 Statement of Reasons

Where we restrict the visibility of content, suspend or terminate the provision of the Service, or suspend or terminate an account because of content you provided, we will give you a clear and specific statement of reasons, except where prohibited by law. The statement will explain the action taken and its scope, the facts and circumstances relied upon, the legal or contractual ground, and the redress options available to you (Section 7.4).

7.4 Internal Complaint-Handling and Out-of-Court Dispute Settlement

If you disagree with a moderation decision, you may lodge a complaint through our internal complaint-handling system by contacting [PLACEHOLDER — dsa@dreamlnds.com or designated contact] within six months of being notified of the decision. We will review complaints in a timely, non-discriminatory, diligent, and non-arbitrary manner, and will reverse a decision where the complaint shows the content is not illegal or incompatible with these Terms. Decisions are not taken solely by automated means without human oversight where required by law.

You also have the right to select a certified out-of-court dispute settlement body to resolve disputes relating to our moderation decisions, including complaints not resolved through the internal system. Recourse to such a body does not affect your right to initiate court proceedings.

7.5 Single Point of Contact

DreamLnds designates a single point of contact to enable direct, electronic communication: (a) with member-state authorities, the European Commission, and the European Board for Digital Services; and (b) with recipients of the Service. Until a dedicated channel is published, the point of contact for both purposes is [PLACEHOLDER — dsa@dreamlnds.com or designated contact]. The language(s) of communication include English and Portuguese.

7.6 Protection of Minors

The Service is restricted to users aged 18 or older (Section 2.1). DreamLnds does not present advertising based on profiling, and does not direct advertising or profiling at minors. We do not knowingly process the personal data of minors (see the Privacy Policy, Children's Data section).

7.7 Misuse and Trusted Flaggers

We may suspend, for a reasonable period and after prior warning, the processing of notices and complaints from individuals or entities that frequently submit manifestly unfounded notices or complaints, and the provision of the Service to recipients that frequently provide manifestly illegal content. Where the trusted-flagger mechanism under the DSA applies, notices submitted by entities awarded trusted-flagger status in their area of expertise will be given priority and processed without undue delay.

7.8 Transparency Reporting

DreamLnds is committed to publishing periodic transparency reports describing our content-moderation activity — including the number and type of notices and complaints received, actions taken, and the use of automated tools — at a cadence and in a form consistent with our obligations and scale.

8. AI-Powered Features

8.1 Nature of AI Output

DreamLnds uses AI (powered by OpenAI's GPT-4o) to provide features such as AI travel plan generation, AI music matching, and AI content suggestions. AI-generated outputs are labeled as AI-generated in the interface and are suggestions only. They are provided "as is", may be incomplete, inaccurate, or not suited to your specific circumstances, and may reflect limitations or biases of the underlying model. You are solely responsible for evaluating, verifying, and acting on AI-generated suggestions.

8.2 No Professional Advice

AI-generated content on DreamLnds does not constitute legal, financial, medical, psychological, or other professional advice. If your dream involves a decision with significant personal, financial, or health implications, seek advice from a qualified professional.

8.3 Transparency and Human Control (EU AI Act)

Consistent with the EU AI Act (Regulation (EU) 2024/1689), we inform you when you are interacting with an AI feature and label content that is generated or meaningfully assisted by AI. Our AI features are limited-risk systems; they do not make consequential decisions about you by automated means alone, and you may request human review of any AI-assisted output that affects you. See the Privacy Policy (AI and Automated Features section) for details.

8.4 Data Sent to AI Services

When you use an AI-powered feature, pseudonymized preference data derived from your content may be sent to OpenAI for processing. See the Privacy Policy (Section 3.6 and Section 7) for how this data is handled and the international transfer safeguards.

9. Payments and Subscriptions

This section provides the legal framework for payments. Specific pricing, billing cycles, and feature inclusions for each subscription tier are defined in sprint planning and will be presented at the point of subscription.

Note: As of the effective date of these Terms, payment processing is in SANDBOX mode. Real charges will not be processed until DreamLnds activates live billing, at which point these Terms will be updated and users notified. This caveat will be removed at the December 2026 company-ready milestone when live billing is activated.

9.1 Free Tier

A free tier with baseline features is available without payment.

9.2 Paid Subscriptions

Paid subscriptions are billed on a recurring basis (monthly or annual, as selected). By subscribing, you authorize DreamLnds to charge your payment method on a recurring basis until you cancel.

Subscriptions are processed by Stripe, Inc. DreamLnds does not store your payment card details.

9.3 Cancellation

You may cancel your subscription at any time via Settings > Billing. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. No prorated refunds are issued for the remaining portion of a paid billing period, unless required by applicable consumer protection law.

9.4 Refunds

Within 7 days of your first subscription purchase, you may request a full refund at privacy@dreamlnds.com, pursuant to Art. 49 of the Brazilian Consumer Defense Code (Código de Defesa do Consumidor — CDC, Law 8,078/1990), which grants a non-waivable right of withdrawal for distance contracts. After 7 days, refunds are issued at DreamLnds's discretion. If you are located outside Brazil, equivalent mandatory consumer withdrawal rights in your jurisdiction (e.g., the EU's 14-day right under Directive 2011/83/EU) are not waived by these Terms.

9.5 Pricing Changes

DreamLnds may change subscription prices with at least 30 days advance notice. Price changes apply to the next billing cycle after the notice period. If you do not agree to a price change, you may cancel before the change takes effect.

10. Intellectual Property

10.1 DreamLnds's IP

The Service — including its software, design, graphics, logos, trademarks, and all content produced by DreamLnds — is owned by [PLACEHOLDER — LEGAL ENTITY TBD] or its licensors and is protected by applicable intellectual property law. Nothing in these Terms grants you any right to use DreamLnds's trademarks or branding without prior written permission.

10.2 Feedback

If you submit ideas, suggestions, or feedback about the Service, you grant DreamLnds a perpetual, royalty-free license to use that feedback without restriction or compensation to you.

10.3 Copyright Complaints (DMCA / Notice and Takedown)

If you believe that content on DreamLnds infringes your copyright, you may send a notice to the contact in the Privacy Policy (Section 1) including: identification of the copyrighted work, identification of the allegedly infringing content, your contact information, a statement of good faith belief, and your signature. We will process valid notices promptly.

Designating a formal DMCA agent with the US Copyright Office is not required for Brazil-first launch. This should be revisited in S20 as Creator Studio UGC volume grows.

11. Privacy

Your use of the Service is governed by DreamLnds's Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you confirm that you have read and understood the Privacy Policy.

The Privacy Policy describes in detail how we collect, use, store, and share your personal data, your rights under LGPD, GDPR, and applicable US state privacy laws, and how to exercise them.

12. Third-Party Links and Services

The Service may contain links to third-party websites or integrate with third-party services (e.g., social sharing, map integrations). DreamLnds is not responsible for the content, privacy practices, or terms of those third parties. Your use of third-party services is governed by their own terms.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, the Service is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

DreamLnds does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- Results obtained from the Service will be accurate or reliable.
- Any defects in the Service will be corrected.

[PENDING — Brazilian legal counsel review required before publication to BR consumers]: The disclaimer above is standard in international ToS but may conflict with non-waivable guarantees under the Brazilian Consumer Defense Code (CDC). A Brazilian attorney's opinion is required before this document is published. This is a December 2026 company-ready milestone action item.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DreamLnds and its officers, directors, employees, and agents will not be liable for:

  • Indirect, incidental, consequential, punitive, or special damages.
  • Loss of profits, data, goodwill, or business opportunity.
  • Damages resulting from your reliance on AI-generated content (Section 8).
  • Damages resulting from unauthorized access to your account where you failed to maintain credential security.

[PENDING — Brazilian legal counsel review required before publication to BR consumers]: CDC places mandatory liability floors on service providers that cannot be contractually excluded. The limitation above is subject to those mandatory floors. Same December 2026 milestone action as Section 13.

Where liability cannot be excluded by law, DreamLnds's total aggregate liability to you for any claims arising from use of the Service in any 12-month period is limited to the greater of: (a) the total amount you paid to DreamLnds in that period, or (b) BRL 100.

15. Indemnification

You agree to indemnify, defend, and hold harmless DreamLnds and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of:

  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any applicable law or third-party rights.

16. Termination

16.1 Termination by You

You may close your account at any time via Settings > Account > "Delete account". Closing your account terminates your license to use the Service. Personal data deletion follows the schedule in the Privacy Policy (Section 8).

16.2 Termination by DreamLnds

DreamLnds may suspend or terminate your account, with or without notice, if:

  • You materially violate these Terms or the Community Guidelines (Section 6).
  • We are required to do so by law.
  • We cease operating the Service.

For violations of Community Guidelines, we will generally apply progressive enforcement (warning → temporary suspension → permanent ban), except for serious violations (illegal content, imminent harm, mass spam) where immediate termination without notice is appropriate. Where a restriction is imposed because of content you provided, we will provide a statement of reasons and the redress options described in Section 7.3–7.4.

16.3 Effect of Termination

Upon termination, your license to use the Service immediately ends. DreamLnds's license to display your public content also ends, and your data is deleted per the schedule in the Privacy Policy. Obligations that by their nature should survive termination (Sections 5.2, 10, 13, 14, 15, and 18) survive.

17. Changes to These Terms

DreamLnds may update these Terms at any time. When we make material changes:

  • We will update the "Effective date" at the top of this page.
  • We will notify you via email and/or an in-app notice at least 30 days before the change takes effect.
  • For changes that materially affect your rights or obligations, continued use after the notice period constitutes acceptance. If you do not agree, you must close your account before the effective date.

Minor changes (typographical fixes, clarifications that do not affect substance) take effect upon publication without specific notice.

18. General Provisions

18.1 Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil. Disputes shall be resolved in the courts of [PLACEHOLDER — forum TBD, follows legal entity registered domicile — resolves at December 2026 company-ready milestone], unless mandatory law in your country or state of residence gives you the right to sue in a local court, in which case that right is not waived.

18.2 Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting DreamLnds at privacy@dreamlnds.com. We will attempt to resolve disputes within 30 days. Brazilian consumers retain the right to access consumer courts (Juizados Especiais Cíveis — JEC) for B2C claims up to 40 minimum wages regardless of any forum clause — that right is expressly preserved. EU/EEA users retain the moderation-related out-of-court dispute settlement right described in Section 7.4. Any binding arbitration clause or US-forum-selection clause that may be added in a future revision is [PLACEHOLDER — pending counsel] and is not in effect today; nothing in these Terms currently requires arbitration or waives your right to bring a claim in a competent court.

18.3 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented at the time of subscription, constitute the entire agreement between you and DreamLnds regarding the Service and supersede all prior agreements on the same subject.

18.4 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect.

18.5 No Waiver

DreamLnds's failure to enforce any provision of these Terms on a particular occasion does not constitute a waiver of its right to enforce that provision in the future.

18.6 Assignment

DreamLnds may assign these Terms (in whole or in part) in connection with a merger, acquisition, or sale of assets, with notice to you. You may not assign your rights or obligations under these Terms without DreamLnds's prior written consent.

18.7 Contact
